LASR X Terms of Service
Effective Date: June 13, 2025
These Terms of Service ("Terms") govern your use of the LASR X software and related services ("Software"), which are operated and provided by Quinfecta Venture LLC ("we," "us," or "our"). By accessing or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Software.

1. License and Permitted Use
We grant you a non-exclusive, non-transferable, revocable license to use the Software solely for lawful purposes and in accordance with these Terms. All rights not expressly granted herein are reserved by Quinfecta Venture LLC.
2. Ownership
All content, trademarks, trade names, logos, and intellectual property related to the Software remain the exclusive property of Quinfecta Venture LLC or its authorized licensors. Unauthorized copying, modification, distribution, or reverse engineering of the Software is prohibited.
3. User Data & Privacy
By using the Software, you consent to the collection, use, and storage of your data as outlined in our Privacy Policy. We do not sell or license your personal data.
4. Software Limitations
The Software is provided "as-is." We make no warranties, express or implied, regarding its accuracy, reliability, availability, or fitness for a particular purpose. You agree that we are not liable for any interruption, error, or loss arising from your use of the Software.
5. Legal Use Only
You agree to use the Software only in compliance with all applicable laws and regulations. The Software is not intended for unlawful activity or for use in jurisdictions where such usage is restricted.
6. License Compliance
You agree not to bypass, alter, or interfere with any licensing mechanisms. Use of the Software beyond the scope of an active, valid license—including any use of expired, exhausted, or unverified third-party components—is prohibited. You acknowledge that certain features or functionalities may be disabled, restricted, or removed at any time to maintain licensing compliance or legal alignment.
7. Service Modifications and Discontinuation
We reserve the right, at our sole discretion, to modify, suspend, restrict, or permanently discontinue access to the Software or any of its features, for any reason, including but not limited to legal compliance, licensing considerations, security concerns, or business decisions. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Software.
8. Indemnification
You agree to indemnify and hold harmless Quinfecta Venture LLC from any claim, liability, loss, or expense (including attorney’s fees) arising out of your use of the Software, your breach of these Terms, or your violation of applicable law.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts located in Collin County, Texas.
10. Notice of Terms Availability
This ToS is publicly accessible via the application login screen. Continued use of the Software after the Effective Date constitutes acknowledgment and acceptance of these Terms.
11. Third-Party Components and Disclaimers
The Software may include or rely upon third-party software, libraries, or drivers. Quinfecta Venture LLC does not guarantee the continued availability, compatibility, or legal compliance of any such third-party component and disclaims all responsibility for their licensing status or future operability.
12. Survival
Sections 2 (Ownership), 4 (Software Limitations), 6 (License Compliance), 7 (Service Modifications and Discontinuation), 8 (Indemnification), 9 (Governing Law), 11 (Third-Party Components and Disclaimers), and 13–18 (below) shall survive any termination or discontinuation of these Terms or the Software.
13. No Waiver
Failure by Quinfecta Venture LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights under these Terms.

14. Limitation of Liability
To the maximum extent permitted by law, Quinfecta Venture LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, data, or business opportunities, arising out of or related to your use of the Software.

15. Export Control
You agree to comply with all applicable export control laws and regulations. You represent that you are not located in a sanctioned jurisdiction and are not prohibited from using the Software under U.S. law.

16. No Third-Party Beneficiaries
These Terms are for the benefit of the parties only. No third party shall have any rights under these Terms.

17. Entire Agreement
These Terms constitute the entire agreement between you and Quinfecta Venture LLC regarding use of the Software and supersede all prior or contemporaneous understandings, whether written or oral.
18. Changes to These Terms
We reserve the right to modify or update these Terms at any time at our sole discretion. Any changes will be effective immediately upon posting to the Software login screen or associated website. Your continued use of the Software after such changes constitutes your acceptance of the revised Terms.
